Position Overview:

Digital Waters is seeking a dedicated and experienced Legal Counsel to join our team. The Legal Counsel will play a crucial role in ensuring that our organization operates within the legal framework, protecting us from potential lawsuits, and managing all legal documentation and compliance. This role is essential for safeguarding our mission and supporting our growth. This is a part time, volunteer role.

Key Responsibilities:

  • Legal Compliance: Ensure that Digital Waters complies with all applicable laws and regulations, including environmental laws, labor laws, and non-profit regulations.
  • Risk Management: Develop and implement strategies to protect the organization from legal risks and liabilities.
  • Contract Management: Draft, review, and negotiate contracts and agreements, including employment contracts, vendor agreements, partnership agreements, and volunteer agreements.
  • Policy Development: Create and update organizational policies, terms, and conditions to ensure legal compliance and protection.
  • Litigation Management: Oversee and manage any litigation or legal disputes involving the organization.
  • Legal Advice: Provide legal advice to the board of directors, executive team, and other stakeholders on various legal matters.
  • Training and Education: Educate staff and volunteers on legal compliance and risk management practices.
  • Incident Management: Develop protocols for responding to legal incidents and managing potential liabilities related to the deployment of monitoring devices or volunteers in public waterways.

Qualifications:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: Minimum of 5 years of experience in legal practice, with a focus on non-profit organizations, environmental law, or a related field.
  • Licensure: Licensed to practice law in Ontario, Canada.
  • Skills:
    • Strong understanding of non-profit and environmental law.
    • Excellent negotiation and contract management skills.
    • Ability to provide clear and concise legal advice.
    • Strong analytical and problem-solving abilities.
    • Exceptional communication and interpersonal skills.
    • Experience with risk management and compliance strategies.
    • Ability to work independently and as part of a team.
  • Preferred Qualifications:
    • Experience working with environmental or technology-focused non-profits.
    • Familiarity with international legal issues related to environmental monitoring.
    • Knowledge of data privacy laws and regulations.
